Terms of Service
Last updated: 1 October 2026 · v1.5
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Workspace Sync, the service provided by Web rješenja d.o.o. ("we", "us", "our"), available at workspace-sync.com, app.workspace-sync.com, and through our mobile apps.
This page is the only valid version of these Terms. The admin dashboard and the apps link to it. Our Privacy Policy and our Data Processing Agreement are published on this website too.
By signing up for Workspace Sync, accessing our service, or using our mobile app, you ("you", "Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and references to "you" include that organization.
If you do not agree to these Terms, do not use the service.
2. Service Description
Workspace Sync is a business service that reads your organization's Google Workspace directory and makes it available to your team members on their phones. The service includes:
- An admin dashboard for managing the connection, configuring which fields and members are synced, and managing billing.
- A mobile app for iPhone and Android that shows the directory to the team members your administrators give app access, and that can keep them in each phone's own Contacts app.
We may add, modify, or discontinue features at our discretion. We will provide reasonable notice of material changes that adversely affect existing functionality.
3. Account and Access
3.1 Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to enter into these Terms.
3.2 Account creation
You sign in with a Google Workspace account on your organization's own domain. Personal Google accounts (gmail.com, googlemail.com) are not supported. The first person to sign in for a domain creates the organization and becomes its administrator. Connecting Google Workspace requires a Google Workspace super administrator.
3.3 Account security
You are responsible for: maintaining the security of your Google Workspace account; all activities under your account; promptly notifying us of suspected unauthorized access.
3.4 Multiple administrators
Your organization may have multiple administrators with full access to manage Workspace Sync. Adding or removing administrators is the responsibility of existing administrators, and at least one administrator must remain.
4. Subscription, Pricing, and Billing
4.1 Free plan
Workspace Sync is free of charge for organizations with 5 or fewer users. A “user” means a person to whom you have granted app access in the admin dashboard, whether or not they sign in.
4.2 Paid plan
Once your organization has 6 or more users, the service is provided on a paid subscription at €1 per user per month, or US$1.20 per user per month if you pay in US dollars, plus any applicable tax (section 4.5). You choose euros or US dollars when you first pay, and the currency stays fixed for the lifetime of that subscription. Every user is billed, including the first 5: the billed amount is based on your total number of users. An organization with 6 users is billed for 6, and one with 20 users is billed for 20. If we give your organization free seats (“gifted seats”), those seats are never billed and the 5-user limit in section 4.1 rises by the same number: with 3 gifted seats, an organization is free up to 8 users, and with 12 users it is billed for 9. Where we have agreed a different per-user price with you in writing, that price applies instead.
4.3 Billing cycle
Subscriptions paid by card are billed monthly in advance. Payment is processed automatically via Stripe using the payment method you provide.
Where we have agreed to invoice you directly instead of taking card payment, your use is billed monthly in arrears: we count your users every day, take the highest count for each day, and average those daily counts over the calendar month. If that average is 5 or fewer, nothing is charged for that month. If it is higher, the whole average is billed: an average of 7.4 users is billed as 7.4 users. Gifted seats (section 4.2) apply on this basis too. Payment is due as stated on the invoice.
4.4 Mid-period changes
Adding users mid-period. When you enable additional users, the corresponding seats are added to your subscription with a prorated charge for the remainder of the current billing period. The prorated amount appears on your next regular invoice.
Removing users mid-period. Turning off users does not reduce the current period's charge and does not generate refunds or credits. The freed seats can be reused within the period at no extra cost. Your subscription is reduced to the number of users you have shortly before the next renewal, and that renewal is charged at the lower number. If that number is 5 or fewer, your subscription ends at the renewal instead and your organization moves to the Free plan, with no further charge.
This section applies to card subscriptions. If we invoice you directly, your use is measured daily as described in section 4.3.
4.5 Taxes
Prices exclude tax. For card payments, Stripe calculates any VAT or other tax we are required to charge from your billing address and tax status (for example a valid EU VAT number), and adds it at checkout and to each invoice. If we invoice you directly, our invoice is issued under Croatian law and includes VAT where that law requires it.
4.6 Failed payments
If a scheduled payment fails, Stripe will automatically retry the charge for up to 14 days. During this time, your service remains active and we notify you by email. If all retries fail, your subscription is cancelled and your workspace moves to the Free plan, and app access is limited to 5 users until you re-subscribe.
4.7 Cancellation
You can cancel your subscription at any time from the Billing page in the admin dashboard, and resume it before the period ends. Cancellation takes effect at the end of the current billing period. There are no refunds for unused portions of the billing period. Cancelling does not delete your organization or its data. After cancellation:
- If your user count is 5 or fewer, your workspace moves to the Free plan and continues to function normally.
- If your user count is more than 5, the most recently enabled users automatically lose app access until 5 remain. You can then choose which 5 users keep it.
4.8 No refunds
Except where required by law, we do not provide refunds for partial billing periods, unused users, or features not used. Cancellation simply stops future charges.
5. Acceptable Use
You agree not to:
- Use the service for any illegal purpose or in violation of applicable laws.
- Attempt to gain unauthorized access to our systems, other customers' data, or any computer network connected to the service.
- Probe, scan, or test the vulnerability of the service without our prior written authorization.
- Use the service to transmit malware, spam, or other harmful content.
- Reverse engineer, decompile, or attempt to extract the source code of the service, except as permitted by applicable law.
- Resell, sublicense, or otherwise commercially exploit the service without our prior written agreement.
- Use automated means (scrapers, bots) to access the service beyond what we explicitly support.
- Misrepresent your identity or affiliation when using the service.
We reserve the right to suspend or terminate your access if we reasonably believe you are in violation of this section, with or without notice.
6. Customer Data and Data Processing
6.1 Ownership
You retain all rights to the data your organization provides or synchronizes to the service ("Customer Data"), including the directory data synchronized from Google Workspace.
6.2 Our role
We process Customer Data on your behalf, as your data processor, to provide the service. Our Data Processing Agreement sets out the terms of that processing as required by Article 28 of the GDPR. It forms part of these Terms and applies to every customer without a separate signature. Our Privacy Policy describes our processing in more detail.
6.3 Your responsibilities
You are responsible for: ensuring you have the legal right to share Customer Data with us, including any required notifications or consents from the individuals whose data is synchronized; the accuracy of the Customer Data; configuring Workspace Sync (which users get app access, which fields are visible, whether company contacts are added to phones) in accordance with your obligations as a data controller.
7. Intellectual Property
We retain all rights, title, and interest in and to Workspace Sync, including the software, designs, trademarks, and documentation. These Terms do not grant you any rights to our trademarks or proprietary materials except as needed to use the service.
Any feedback you provide may be used by us without obligation or compensation.
8. Confidentiality
Each party agrees to keep the other party's non-public information confidential and to use it only as needed to perform under these Terms. This obligation survives termination.
9. Warranties and Disclaimers
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
We do not guarantee that the service will be uninterrupted, error-free, or completely secure. We may perform maintenance, updates, or repairs that temporarily affect availability.
We are not responsible for the accuracy of the data read from your Google Workspace. That data is provided by your organization, and we show it without modification.
10. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the service is limited to the amount you paid to us in the 12 months immediately preceding the event giving rise to the liability.
We are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as liability for fraud, willful misconduct, or gross negligence).
11. Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, losses, damages, liabilities, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the service, or your violation of any third-party rights.
12. Term and Termination
These Terms remain in effect for as long as you use the service. Either party may terminate:
- By you — by cancelling your subscription via the Billing page (see section 4.7), and by asking us to delete your organization (see Delete your account and data).
- By us — for material breach (after written notice and a 30-day cure period for breaches capable of cure), or immediately for serious violations of acceptable use, or for non-payment.
- Either party — for convenience with 30 days' written notice.
When an organization is deleted, its access ends immediately. Its data is kept for 30 days so the deletion can be undone, and is then permanently deleted, or straight away if you ask us to. Otherwise Customer Data is handled as our Privacy Policy describes.
13. Modifications to the Service
We may modify the service at any time. We will provide reasonable notice of changes that materially reduce functionality you rely on. Routine updates, bug fixes, and security improvements may be made without notice.
14. Modifications to These Terms
We may update these Terms from time to time. We update the "Last updated" date at the top.
For material changes, including any change to prices or to what we charge for, we will tell your administrators by email at least 30 days before the change takes effect. For minor changes, the updated date alone is the notification.
Your continued use of the service after the updated Terms take effect constitutes acceptance.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Croatia, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the competent courts in Zagreb, Croatia.
This does not affect any mandatory rights you may have under the laws of your country of residence as a consumer (if applicable).
16. Force Majeure
We are not liable for any failure or delay in performance caused by events outside our reasonable control, including natural disasters, war, acts of terrorism, government actions, internet or infrastructure outages, or failures of third-party service providers.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and our Data Processing Agreement, constitute the entire agreement between you and us regarding Workspace Sync and supersede any prior agreements on this subject.
19. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
20. Notices
We may send you notices by email (to the email address associated with your account) or via in-app messaging. You can contact us at:
